Terms of Service

1. Acceptance of Terms

By accessing or using RedDogSME services, you agree to these Terms of Service.

2. Service Structure

RedDogSME provides fixed-price Azure architecture services organized into five divisions: RECON, FOUNDATIONS, INTELLIGENCE, SPECIAL_OPS, and RETAINER. Engagement scope, deliverables, and timeline are defined in writing before execution.

3. Pricing and Payment

• All prices are quoted in USD before work begins.
• Payment is processed through approved billing channels.
• RECON engagements are billed upfront unless otherwise agreed.
• Implementation divisions may use milestone billing.
• RETAINER engagements are billed monthly.

4. Intellectual Property

Upon full payment, clients own delivered custom artifacts. RedDogSME retains rights to generalized methods, reusable patterns, and non-client-specific accelerators.

5. Confidentiality

Client infrastructure and business data are treated as confidential and disclosed only as required for delivery or by law.

6. Limitation of Liability

Liability is limited to fees paid for the specific engagement giving rise to the claim. RedDogSME is not liable for third-party platform outages, post-handoff client changes, or decisions outside agreed recommendations.

7. Guarantees and Risk Reversal

• RECON: If fewer than three actionable improvements are identified, the engagement is eligible for a full refund under the SOW conditions.
• FOUNDATIONS / INTELLIGENCE / SPECIAL_OPS: Fixed-price delivery. Overages caused by RedDogSME execution are absorbed by RedDogSME unless scope changes are approved by change order.
• RETAINER: 30-day exit clause for new retainers when measurable kickoff objectives are not met.
• Audit Credit: Completed RECON audit fees may be credited toward qualifying implementation engagements when stated in the SOW.

8. Termination

Either party may terminate with written notice. Fees for completed work remain due. Retainer cancellations require 30 days notice unless overridden by signed agreement.

9. Governing Law

These terms are governed by the laws of the Commonwealth of Virginia, United States.
